Confidential — Partnership Review
Legal Posture
& Corporate StatusA structured inventory of the entity, its contracts, its disputes, and the legal questions that need answers.
A complementary document to the Operational Audit and the Modern Intelligence Platform Investor Proposal — focused exclusively on corporate structure, contractual obligations, active disputes, compliance documentation, and the open legal questions requiring counsel input.
Document Status — Preliminary · Counsel Review Required
This legal posture document is a structured inventory based on materials currently available — extracted contracts, the SFE legal letter, the Drive Gary Data folder, and the previous research. It is not a legal opinion. Several items require formal review by Lao corporate counsel and contract counsel before final disposition. The completeness checklist below mirrors the disclaimer in the Operational Audit and adds legal-specific items.
- Articles of Incorporation · status confirmation
- Shareholder Agreement · 49/51 % execution
- Power of Attorney · signatory scope
- Border Run / Visa · NIB2 current status
- Name reservation · MLG name registry
- SFE post-letter outcome · settlement evidence
- Pui Ley police record · incident chronology
- Subcontractor agreements · full inventory
- Lao counsel call · 1× call to formalise positions

P. 02
§ 01 — Executive Summary
The legal posture, in one page.
Findings, headline numbers, and the questions counsel must answer.
Modern Lao Sole Co., Ltd. is a real legal entity with verifiable contracts, signed agreements, and an active legal letter on file — but several foundational documents require status confirmation, and one active dispute carries a physical-safety classification.
Findings
01Verified entity. Modern Lao Sole Co., Ltd. (DBA Modern Lao Homes) — Don Koi Village, Sissatanak District, Vientiane. Authorised representative Gary Snider, signed across multiple 2025 contracts.
02Asset-takeover transition. Operating asset transferred from Mr. Greg to Mr. Gary in mid-2024. Backlog and obligations transferred with it. Sam joins Q1 2026 as 49% partner.
03Active legal letter on file. Aug 11 2025 — formal MLH demand to SFE for $7,000 + ฿83,200 settlement. Outcome post-letter not in records.
04Physical-safety classification. Pui Ley dispute escalated beyond financial — harassment, police-station warnings, alleged kidnapping attempt against Mr. Snider.
05Contract inventory partial. 5 client contracts visible in records (Pui Ley, Sabu/Pheng, Chris/King, Violaine/Ben, Jacam subcontract). Full inventory pending.
06Compliance documents present but status uncertain. 6 MLG-LEGAL documents exist in /docs/ — Articles of Incorporation, Shareholder Agreement, Power of Attorney, Name Reservation, NIB2 Visa, Border Run — execution status to be confirmed.

§ 05 — Standard Contract Terms (Reference)
Reference language already in use.
Excerpts from executed contracts demonstrate the template language MLH currently relies on.
"The total lump sum contract price is USD Fifty-Four Thousand Three Hundred (USD 54,300), inclusive of a twenty percent (20%) contractor profit margin. The Works shall be substantially completed within five (5) months from the commencement date with a 30 day grace period. All progress payments under the agreed draw schedule shall be paid by bank transfer within three (3) business days of the Contractor's written payment request. This Agreement shall be governed by and construed in accordance with the laws of the Lao People's Democratic Republic."
— Violaine & Ben Construction Contract, January 27, 2026
"Contract dated 25-7-24 is amended as follows; Article 05 Payment conditions, subtitle 5.01. Balance of the contract this day is $14,400 plus the final payment of $2100.00 USD for a total of $16,500.00 USD. The parties agree to advance $4,400.00 USD today by direct deposit or cash to Modern Laos Sole Co., Ltd., leaving a balance outstanding of $12,100.00 USD."
— Pui Ley Amendment, signed June 17, 2025 by Mr. Gary Snider, Ms. Pui, Mr. Ley
"Management Fee: $5000 USD, payable in four installments — $2000 upon signing of this contract, $1500 two weeks after commencement date (Approx. September 18, 2025), $750 two weeks after the second payment (Approx. October 2, 2025), $750 upon project completion and signoff, no later than October 15, 2025. Time is of the essence."
— Sabu & Pheng Renovation Contract, August 28, 2025
Observations for counsel review: contracts reference "the laws of the Lao People's Democratic Republic" as governing law; warranty period is one year from Practical Completion; contract format mixes lump-sum (Violaine/Ben) and management-fee (Sabu/Pheng) structures. No standard template currently in use across all contracts — this is item #5 in the open questions list.

§ 06 — Active Disputes · Forensic Exhibits
Four open risks. One physical-safety classification.
Each card cites the source, the amount in play, the recommended resolution path, and the counsel input required.
Exhibit A · Personal-Safety Class · Counsel Required Immediately
PUI LEY · DANGER
Physical-Safety Risk
Harassment, police warnings, alleged kidnapping attempt against Mr. Snider.
USD 12,100 outstanding · physical-safety incident classification
OriginOriginal contract July 25, 2024 · amended June 17, 2025 · $4,400 advance received · $12,100 balance unpaid
EscalationReported harassment targeting Mr. Snider · police-station warnings filed · alleged kidnapping attempt reported · physical-safety risk classification
Counsel inputLao criminal / safety counsel · restraining order procedure · police record formalisation · evidence preservation protocol
RiskPhysical safety of Mr. Snider · ongoing intimidation · potential criminal escalation · brand exposure if incident becomes public
ActionImmediate: formal police report, written record of all incidents, restraining order assessment with Lao counsel · Financial: separately pursue legal recovery of $12,100 via formal demand or write-off documentation · Operational: minimum-contact protocol for Mr. Snider, no solo meetings with Pui Ley party · Documentation: compile evidence file (dates, witnesses, threats received) before any further action
Detail requiredSpecific dates, locations, and parties of harassment incidents to be added once Sam receives full account from Mr. Snider

Quote"You promised me you pay them and asked me to increase my amount so I did, clearly you had no intention of paying them."
Counsel inputLao labor-law exposure · whether MLH bears residual worker-payment liability when subcontractor fails to pass through funds · whether disputing fees on the same Jacam subcontract creates contract-breach exposure on the Vang Vieng build · evidence threshold for direct settlement vs formal demand
RiskWorker complaints · subcontractor referral network damage · build continuity threat for Vang Vieng project · cross-contamination of the Violaine/Ben contract obligations
ActionDirect settlement (recover and pay workers) OR formal demand letter — must preserve Jacam relationship sufficient to keep Vang Vieng build moving (or replace subcontractor if relationship is unsalvageable)

P. 09
§ 08 — Open Legal Questions
Fifteen specific questions. Five categories. One conversation each.
All open items consolidated. Each question is the precise input required before a partnership / capital / dispute decision is finalised.
Entity & Equity
Foundational corporate structure questions to be answered with Lao corporate counsel + executed Shareholder Agreement review.
01
Has MLG-LEGAL-006 Shareholder Agreement been formally executed by both Mr. Snider and Sam? If yes — date, witnesses, copy on file. If no — schedule execution before any capital release.
Entity
02
What is the relationship between Modern Lao Sole Co., Ltd. and Modern Lao Group Co., Ltd.? One operating entity + one holding entity? Same entity referenced two ways? Distinct registrations? Source documents need to confirm.
Entity
03
Confirm 49 / 51 percentage split. Is the 51% Mr. Snider, or does another party (Mr. Greg, family member, or other) hold any residual interest from the asset takeover?
Entity
04
What did the asset-only takeover from Mr. Greg formally include? Specifically: was Salome's $600 obligation legally inherited along with the operating asset, or did it remain with the prior owner? Counsel should review the takeover instrument.
Entity
Contracts
Standardisation, template adoption, and missing inventory questions.
05
Approve standardised client contract template covering renovation, build, and land+build packages — replacing the current mixed lump-sum / management-fee / amendment formats.
Contracts
06
Approve standardised subcontractor template — Jacam-style scope & payment + Win-style worker-pass-through clarity. Required before any new subcontractor mobilises.
Contracts
07
Confirm completion status of Sabu & Pheng renovation against the Oct 15, 2025 contractual deadline. Was the final $750 installment paid? Is signoff documented? If not, what closes the contract?
Contracts
Disputes
Each open dispute requires a path-of-resolution decision before stabilization can proceed.
08
Pui Ley physical-safety record. Specific dates, locations, parties, and witnesses for the harassment + police-station + alleged kidnapping incidents must be compiled in a single evidence file. Lao safety / criminal counsel engaged.
Disputes
09
SFE post-letter outcome. Did SFE respond to the Aug 11, 2025 demand letter? Was settlement negotiated? Was the $7,000 + ฿83,200 ever paid by SFE to Mr. Ty / concrete supplier? If unresolved, initiate formal recovery.
Disputes
10
Salome Ovia resolution path: refund the $600, deliver the design at no cost with credit toward future build, or offer settlement amount. Lao counsel input on whether refund is mandatory under inherited-liability theory.
Disputes
11
Win labor-payment exposure. Lao labor-law counsel: does MLH bear residual worker-payment liability when subcontractor (Win) fails to pass through funds? Does this affect the $1,500 settlement decision?
Disputes
Compliance
MLG-LEGAL document inventory verification + missing-document drafting priorities.
12
Verify execution status of MLG-LEGAL-001 through 005. For each: signed? current? superseded? Required for: visa support, signing authority, name registry, entity rules. Counsel reviews and confirms.
Compliance
13
Privacy Policy / Terms of Use for modernlao.com + modernlaohomes.com. Required before paid social ads launch (Phase 3 of 90-day plan) and before WhatsApp / web form lead capture.
Compliance
14
Subcontractor agreement inventory. Beyond Jacam — are there other current or recent subcontractor relationships that should be papered? Win is currently undocumented (only WhatsApp).
